USER AGREEMENT FOR GREATESTGOOD.ORG

Please read the terms and conditions set forth below before using this site.

INTRODUCTION

This User agreement and Privacy Policy governs the use of website Greatestgood.org (the "Site") offered by Greatestgood.org Inc. ("Greatestgood.org") and is binding on all those who access, visit, sell their services and/or purchases any property or services on this Site, whether acting as an individual or on behalf of an entity.

ELIGIBILITY

Any person who accesses the Site, registers to purchase any property or services or offers to sell their time on this Site must accept the terms and conditions set forth herein (the "Agreement"). This use of the Site to purchase any property or services is limited to parties that may lawfully enter into and form binding contracts under applicable law.

To be eligible to purchase property or services from the Site, you must first register by providing your real name, phone number, email address, credit card information and any other information requested by the Site. Users creating an account are responsible for maintaining the confidentiality of their user ID and password, and are fully responsible for all activities that occur under their account. Greatestgood.org does not retain or assume liability or responsibility for such use.

Greatestgood.org Inc. reserves the right to deny, cancel or otherwise rescind registration for any user for any reason at any time.

Users may not register under a false name or use an invalid or unauthorized credit card. Users may not make any purchases under a false name, impersonate any participant, or use another participant's password or engage in any other fraudulent conduct or conduct intended to interfere with the orderly conduct of the business on the Website.

TRANSACTIONS AT GREATESTGOOD.ORG

Each of Greatestgood.org's selected professionals (each, an "Advisor") has committed a certain amount of time to Greatestgood.org, which may be purchased by users in half-hour-long increments (or other periods as determined by Greatestgood.org). Upon registration and purchase of any such services, users and the Advisor will arrange a mutually acceptable time for a videoconference meeting. In no event shall an Advisor be responsible for an in-person meeting. Once Greatestgood.org receives confirmation that the videoconference has taken place, the customer's credit card will be charged for the purchase.

Greatestgood.org reserves the right to halt any sale during its progress, and may refuse to process a transaction for any reason or refuse service to anyone at any time in its sole discretion. Greatestgood.org may investigate any reported violations of this Agreement or complaints and take any action that it deems appropriate (which may include, but is not limited to, using warnings, suspending or terminating service, denying access and/or removing any materials on the Site).

In the event a customer is unsatisfied with the purchase for any reason, a customer must submit a complaint and request for refund within two days of the videoconference taking place. Within a reasonable period following receipt of such refund request, Greatestgood.org will conduct a reasonable inquiry into the customer's complaints and may issue a refund (or partial refund), less any transaction costs or money transfer fees, in the event any videoconference did not occur or for the duration of the time purchased (by no fault of the customer). All customers acknowledge that all refunds must be requested from Greatestgood.org and not the Advisor.

Unless otherwise authorized or consented to by Greatestgood.org, users agree not to use any information regarding other participants that is accessible from the Site or disclosed to users by Greatestgood.org, except to enter into and complete transactions on and through the Site. Without limiting the generality of the foregoing, you agree not to use any such information for purposes of spamming, harassment, invasion of privacy or otherwise objectionable conduct.

All customers and Advisors acknowledge and agree that in the event any purchased meeting goes beyond the time purchased, the customer will not be billed for such extra time (and the Advisor is not entitled to charge for such extra time), and in the event any purchased meeting is shorter than the time purchased, customer will not be automatically entitled to a partial refund.

RULES OF USAGE

UNDER NO CIRCUMSTANCES MAY ANY VIDEOCONFERENCE OR MEETING WITH AN ADVISOR BE RECORDED.

PLEASE BE AWARE THAT THE PRIOR CONSENT OF GREATESTGOOD.ORG AND THE ADVISOR IS REQUIRED IF MORE THAN THREE INDIVIDUALS WILL BE PRESENT FOR ANY VIDEOCONFERENCE. THE ADVISOR AND GREATESTGOOD.ORG RESERVE THE RIGHT TO REFUSE OR DISCONTINUE ANY MEETING WITH AN ADVISOR AT ANY TIME.

In addition, any meeting purchased with an Advisor may not be deemed to be an endorsement of any claim, product, organization or otherwise. All information exchanged in any such meeting shall be kept strictly confidential. Following any meeting with an Advisor, in no event may any purchaser convey that such meeting was an endorsement or any product or organization or otherwise, or use an Advisor's name in any material regarding any product or organization or otherwise without the express written consent of such Advisor. Greatestgood.org reserves the right to seek injunctive relief in the event of any such violation of this provision.

TAXES/DISCLAIMER REGARDING TAX DEDUCTIBILITY

THE PURCHASE OF ANY PROPERTY OR SERVICE FROM THE SITE MAY NOT BE CONSIDERED A CHARITABLE CONTRIBUTION AND GREATESTGOOD.ORG WILL NOT PROVIDE ANY STATEMENTS REGARDING THE SAME UNDER ANY CIRCUMSTANCES.

Greatestgood.org is not obligated to determine whether taxes apply and is not responsible for collecting, remitting or reporting any sales or use taxes arising from any transaction and users agree to indemnity and/or hold Greatestgood.org harmless therefrom.

Greatestgood.org makes no representation or warranty whatsoever regarding the services that may be purchased on the Website.

LIMIT OF LIABILITY

IN NO EVENT SHALL GREATESTGOOD.ORG BE LIABLE TO YOU OR ANY THIRD PARTY, IN CONTRACT, TORT OR OTHERWISE, FOR ANY DAMAGES ARISING OUT OF YOUR USE OF THE WEBSITE, INCLUDING, WITHOUT LIMITATION, ANY SPECIAL, PUNITIVE, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SIMILAR DAMAGES, HOWEVER ARISING. IN ANY SUCH JURISDICTIONS WHERE SUCH LIMITATION MAY NOT APPLY TO YOU, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT OF THE LAW, AND IN ANY CIRCUMSTANCE, YOU AGREE THAT THE LIABILITY ARISING OUT OF THIS AGREEMENT IS LIMITED TO THE AMOUNT OF FEES YOU PAID TO IN CONNECTION WITH THE PURCHASE GIVING RISE TO SUCH LIABILITY. IN NO EVENT SHALL GREATESTGOOD.ORG BE LIABLE TO YOU OR ANY THIRD PARTY, IN CONTRACT, TORT OR OTHERWISE, FOR ANY DAMAGES ARISING OUT OF THE FAILURE OF ANY CONTRIBUTOR TO FULLY PERFORMS ITS OBLIGATIONS HEREUNDER.

PRIVACY

Greatestgood.org may share with its affiliates and other parties any registration information, any information concerning potentially fraudulent activities on the Site, and any other information it may obtain or possess regarding any use of the Site. Greatestgood.org reserves the right to report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other third parties. Note that in order to comply with governmental requests and ensure the integrity of the operation of Greatestgood.org's business, Greatestgood.org may access and disclose any information it considers necessary or appropriate, including, user contact details, IP addressing and traffic information, usage history and posted content

By registering on the Site, you specifically authorize Greatestgood.org to transmit registration information (including any updated information) or to obtain information about you from third parties from time to time in order to verify your identity, to validate your credit card, to obtain an initial credit card authorization and to authorize individual purchase transactions.

Unless otherwise authorized or consented to by Greatestgood.org, you agree not to use any information regarding Advisors or other participants that is accessible from the Site or disclosed to you by Greatestgood.org or any Advisor, and you agree not to use any such information for purposes of spamming, harassment, invasion of privacy.

USAGE OF MATERIAL

Unless otherwise indicated, all information contained on the Website, such as text, graphics, logos, button icons, images, audio, and other copyrightable material, is copyrighted by, and proprietary to Greatestgood.org and/or its licensors, and may not be copied, reproduced, transmitted, displayed, performed, distributed, sublicensed, altered, stored for subsequent use or otherwise used in whole or in party in any manner without Greatestgood.org's prior written consent. All user responses to surveys proffered by Greatestgood.org are the sole property of Greatestgood.org and may be used by any manner.

OTHER WEBSITES/ORGANIZATIONS

The Site contains links to other websites which are provided solely as a convenience to you and not as an endorsement by Greatestgood.org. Other websites, including social media websites, may also contain links and information regarding Greatestgood.org. Greatestgood.org is not responsible for the content of any other websites and makes no representation or warranty regarding any other websites or the contents or materials on such websites or any representations regarding any organization or charities represented on such website. If you decide to access other websites, you do so at your own risk and we encourage due diligence into any other organizations. Links to and from the Site to such third party sites do not imply or constitute an endorsement by Greatestgood.org of any third party material or contents.

GOVERNING LAW/JURISDICTION

This Website (excluding linked sites) is controlled by Greategood.org, which is located in New York City in New York State. By accessing the Website both you and Greatesgood.org agree that the statutes and laws of the State of New York, without regard to conflicts of laws principles thereof, will apply to all matters arising from or relating to the use of the Website, or enforcement of this Agreement. You and Greatestgood.org also agree and hereby submit to the exclusive personal jurisdiction to the state or federal courts located in New York, New York with respect to such matters.

INDEMNITY

By using the Site, you, as a user of the Site, agree to indemnify and hold harmless Greatestgood.org and its respective agents, employees, officers, directors, principals, partners and shareholders from and against any and all losses, damages, claims, costs and fees (including reasonable attorney's fees) arising out of or related to (i) a breach of this Agreement, (ii) the use of a password obtained from you or any of your agents or employees without your consent and (iii) your use of the Site.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof, and any and all written or oral agreements heretofore existing between the parties hereto with respect to the subject matter of this Agreement are expressly cancelled.

MISCELLANEOUS

Greatestgood.org may change the terms and conditions set forth in this Agreement in the future, including, but not limited to, the prices of any goods or services for sale at Greatestgood.org . Any changes to the policies, procedures or guidelines referenced herein will be effective immediately upon posting on the Site. Each user is responsible for reviewing notices and any applicable changes. Changes to referenced policies and guidelines may be posted without notice to you.

Greatestgood.org may in its sole discretion add, delete, amend, modify, change or make unavailable some or all of our services at any time without prior notice.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Greatestgood.org's failure to act with respect to a breach by any user or others does not waive Greatestgood.org's right to act with respect to subsequent or similar breaches.
